Terms of Service

These Terms of Service (“Terms”) govern your access to and use of FlipLetters (“FlipLetters,” the “Service”), operated by Terahertz Inc. (“Terahertz,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Acceptance of Terms

Creating an account, signing in, or otherwise using FlipLetters means you accept these Terms in full. If any part is unacceptable to you, do not use the Service.

2. Description of Service

FlipLetters is a web application for creating animated split-flap and flip-dot style videos with synchronized mechanical sound effects, from text you enter and images you upload, across a set of board templates (including station boards, flip-dot matrices, color-flap art boards, and framed announcement boards). The Service renders your project into a downloadable MP4 video. FlipLetters is a creative and entertainment tool — it does not verify or guarantee that any video you create is suitable for a particular use (for example, broadcast, advertising, or as an official record of an event).

3. Eligibility

You must be at least 18 years old to create an account or use the Service. By using FlipLetters, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. User Accounts and Free Flips

A free FlipLetters account (Google sign-in or email and password) is required to render and export videos. Every account starts with a small number of free exports (“flips”); additional exports require payment, either per export or via a recurring Premium subscription, as described on the Service at the time of purchase. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, and agree to notify us promptly of any unauthorized use.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in abusive, fraudulent, or harmful behavior, including attempts to circumvent free-tier limits.

5. User Content

You retain ownership of the text, images, and project files you create or upload using FlipLetters (“User Content”). By submitting User Content, you grant Terahertz Inc. a non-exclusive, worldwide, royalty-free license to process, store, and display that content solely as needed to operate the Service for you — for example, converting an uploaded image into a flap-grid pattern, rendering your video, and keeping a copy in your export history. We will not use your User Content to promote FlipLetters publicly without your separate, explicit permission.

You agree not to upload or submit content that:

• Is unlawful, defamatory, obscene, or harassing
• Infringes the intellectual property or privacy rights of others
• Contains malware or is intended to abuse or disrupt the Service
• Impersonates another person or entity

Uploaded images may be subject to automated content moderation before processing. We reserve the right to remove any content that violates these Terms at our sole discretion.

6. Templates, Free Tier, and Premium

FlipLetters provides a set of board templates and rendering options, which we may add to, modify, or retire over time. The free tier and any paid single-export or Premium subscription pricing in effect are those displayed on the Service at the time of your purchase or use.

7. User-Uploaded Content and Third-Party Rights

You are solely responsible for ensuring you have the necessary rights to any image, name, likeness, or other material you upload or type into the Service, and for how you use any video you export (including sharing content such as personal announcements). We are not responsible for verifying the accuracy, legality, or appropriateness of User Content, and disclaim liability for any claim arising from content you choose to create or share.

8. Intellectual Property

The FlipLetters name, logo, board designs, sound effects, software, and all original content created by Terahertz Inc. are protected by copyright and trademark laws. You may not copy, modify, distribute, resell, or create derivative works from our proprietary content or software without prior written consent.

9. Third-Party Links and Services

FlipLetters relies on third-party services to operate, including payment processing (such as Stripe) and cloud hosting and authentication (Google Cloud Platform / Firebase). These services are not owned or controlled by Terahertz Inc., and we are not responsible for their content, availability, or practices. Your interactions with third-party payment processors are solely between you and that processor.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TERAHERTZ INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US (IF ANY) IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES.

12. Indemnification

You agree to indemnify, defend, and hold harmless Terahertz Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your use of the Service, your User Content, your purchases, or your violation of these Terms.

13. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service (including templates, features, free-tier limits, or pricing) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of laws provisions. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Virginia Beach, Virginia.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on this page and updating the “Last updated” date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
